Terms of Service

• “Client” means the person or entity purchasing Services.
• “Deliverables” means work product such as designs, code, websites, written copy, and related assets.
• “Content” means text, images, logos, videos, and other materials provided by Client or used by Client.
• “Account” means a set of credentials, if applicable, used to access the Services.

The Services may include web design, web development, landing pages, audits, performance optimization, analytics setup, integrations, and maintenance—only as described in a written proposal, statement of work, or invoice.

Unless explicitly agreed in writing, the Services do not include legal compliance (e.g., GDPR/CCPA legal advice), copywriting beyond what is specified, hosting, domain purchase, paid licenses, or third-party subscription fees.

• Provide accurate requirements, approvals, and feedback in a timely manner.
• Ensure you have rights to all Content you provide and that it does not infringe third-party rights.
• Maintain secure access to accounts (hosting, DNS, CMS) and share credentials via secure methods.
• Review Deliverables promptly; delayed approvals may shift timelines.

You agree not to misuse the Services, including by:

• Attempting to gain unauthorized access to systems, accounts, or data.
• Introducing malware, scraping at scale, or disrupting availability (DoS/DDoS).
• Using Deliverables to conduct illegal activity, fraud, or infringement.
• Misrepresenting affiliation with Markentra Digital or any third party.

Unless otherwise agreed in writing, Markentra Digital retains ownership of pre-existing tools, templates, libraries, and know-how. Upon full payment, Client receives a non-exclusive license to use Deliverables for its intended business purposes.

Client retains ownership of Client-provided Content. Client grants Markentra Digital a limited license to use such Content solely to perform the Services.

Open-source dependencies, if used, remain governed by their respective licenses.

Fees are as stated in the applicable proposal, statement of work, or invoice. Unless otherwise specified, invoices are due upon receipt. Late payments may pause work and may incur reasonable administrative fees to the extent permitted by law.

Client is responsible for applicable taxes (VAT/sales taxes) and third-party fees (hosting, domains, paid plugins, subscription tools) unless explicitly included.

Reasonable revisions are included only if stated in your scope. Additional revisions, new features, or out-of-scope requests may require a change order and additional fees.

Approvals may be requested at milestones. If approvals are delayed, delivery dates may shift accordingly.

Each party may receive confidential information from the other. Both parties agree to protect such information using reasonable care and to use it only to perform or receive the Services.

Confidential information does not include information that is publicly available without breach, independently developed, or rightfully received from a third party.

Services are provided “as is” and “as available.” We do not guarantee uninterrupted operation or that Deliverables will be error-free in all environments.

We do not provide legal, tax, or financial advice. You are responsible for determining whether the Services meet your requirements.

To the maximum extent permitted by law, Markentra Digital will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the amount paid by Client for the Services giving rise to the claim during the three (3) months preceding the event.

Either party may terminate a project as permitted by the applicable statement of work. Upon termination, Client will pay for work performed up to the termination date, including non-cancellable commitments.

Sections intended to survive termination (including IP, payments due, confidentiality, disclaimers, limitation of liability) will survive.

We may update these Terms from time to time. The “Effective date” above indicates when they were last updated. Your continued use of Services after changes become effective constitutes acceptance of the updated Terms.
